01 Agreement
These Terms of Service ("Terms") form a binding contract between you and MXM SOLUTION LLC, a limited liability company organized under the laws of the State of Wyoming, United States, with registered office at WY Commercial Registered Agent LLC, 75 E 3rd St, Sheridan, WY 82801. By creating an account, subscribing, or using any part of Qreators (the "Service"), you accept these Terms.
02 Eligibility
To use the Service you must:
- Be at least 18 years old or the age of majority in your jurisdiction, whichever is higher.
- Have the legal capacity to enter into a binding contract.
- Not reside in a country subject to U.S. (OFAC) or EU sanctions.
- Operate, or represent an agency that operates, lawfully on the third-party platforms you connect.
If you use the Service on behalf of an organization, you confirm that you have authority to bind that organization. Age verification relies on your self-attestation; we do not perform independent verification.
03 Accounts
A workspace is owned by the user who first registers it; that user is responsible for the actions of every member they invite. You are responsible for keeping your credentials confidential and must notify [email protected] within a reasonable delay of any suspected unauthorized access. Seats are tied to individual humans and may not be shared.
04 Subscription & billing
- Pricing
- A licence for each connected creator, plus a variable amount set by that creator's gross OF revenue. Both are stated on the pricing page, whose band table forms part of these terms.
- Billing cycle
- Monthly, auto-renewing.
- Payment processor
- Payments are processed by our Merchant of Record, whose identity and contact details appear on the payment page before you pay and on the invoice issued to you. The Merchant of Record issues your invoice, appears on your bank statement, and handles refunds and payment-related requests.
- Card on file
- None — card details must be re-entered for each new subscription.
- Proration
- None. A period is charged in full and you keep access until it ends (see §10), so cancelling does not refund the days left in it. The one exception is a licence moved to another creator mid-period.
- Taxes
- Handled by the Merchant of Record according to your jurisdiction. Displayed prices include applicable tax.
How your price is set
Your amount for each period is the licence plus one band from the published grid. The band is the one matching that creator's gross OF revenue, before OF's own commission, over the 30 complete days ending the day before we measure. We measure seven days before each renewal, and the band applies to the period that renewal opens. It moves down as readily as up, without any action on your part, and you are notified before any change takes effect. The grid in force is the one published on the pricing page on the day of the measurement; we will notify you before the grid itself changes.
Declared revenue range and verification
When you subscribe a creator whose OF account is not yet connected, you select the band matching that creator's gross revenue over a stated and fixed date range. That selection sets the variable part of your first payment, and is a representation you make to us.
Once the account is connected, we measure that same date range. If the actual revenue falls in a higher band, the difference between what you paid and what that period should have cost is due, and is charged as a single payment. You have three days from the day we notify you to settle it. After that, access to that creator is suspended until it is settled; your other creators are not affected. Selecting a band higher than the actual revenue does not reduce your first payment: the difference between what you paid and what that period should have cost is settled by reducing your following amounts, as described under Reductions below, and is never refunded.
An unsettled difference remains due if you cancel the subscription, and we may decline a new subscription for that creator until it is settled.
Reductions
Two situations may leave an amount in your favour: a declared revenue range higher than the creator's actual revenue once it is measured (see the previous section), and a licence moved from one creator to another mid-period, when the new creator's band is lower than the one you are paying, for the days remaining in that period. In both cases the difference is settled by reducing your following amounts, not by a refund or a credit note. The reduction applies automatically to each renewal, down to the minimum our payment processor accepts for a recurring charge, with any remainder reducing the renewal after that; a large difference may therefore spread over several renewals. It reduces future amounts only: if the subscription ends, there is no further amount to reduce, and no remainder is paid out.
Renewals
Subscriptions auto-renew monthly unless cancelled from the Billing page in the app or via the payment portal linked from it. Cancellation takes effect at the end of the current period; no pro-rata refund is issued.
Refunds
Refunds are handled exclusively by the Merchant of Record; the Service offers no self-service refund. A 14-day withdrawal period applies only where you qualify as a consumer under mandatory applicable law (typically not the case for B2B agency use). Late or failed payments are managed under the Merchant of Record's standard dunning policy.
05 Acceptable use
You agree not to use the Service to:
- Violate any applicable law, regulation, or third-party platform's terms of service.
- Message, target, or represent anyone under 18.
- Impersonate a creator without that creator's explicit written consent on file.
- Send spam, malware, phishing attempts, or unsolicited mass content outside connected platforms' rules.
- Reverse-engineer, scrape, or resell the Qreators product itself.
- Exceed documented rate limits, stress-test our infrastructure, or attempt to bypass access controls.
- Engage in harassment, coercion, or extortion.
Prohibited content. You may not use the Service to upload, transmit, store, or distribute:
- Content depicting or sexualising minors, including AI-generated or simulated material (CSAM).
- Non-consensual intimate imagery, including deepfakes of identifiable persons.
- Content depicting persons subject to exploitation, coercion, or trafficking.
- Any other content unlawful under the laws applicable to you or to the intended audience.
Violations may result in warning, suspension, or termination — proportional to severity — and may be reported to competent authorities, including the U.S. National Center for Missing & Exploited Children (NCMEC) where required by law. Report concerns to [email protected]; we aim to acknowledge within a reasonable delay. You may appeal an enforcement decision within 14 days by writing to the same address.
06 Your content
You own your content. Scripts, lists, automations, creator profiles, and messages you enter into Qreators remain yours.
You grant MXM SOLUTION LLC a limited, worldwide, non-exclusive, royalty-free licence to host, transmit, display, back up, and process your content solely as needed to operate the Service and the features you enable.
We do not use your content to train our own or third-party AI models. Any operational AI features introduced in the future will be disclosed in this document and offered on an opt-in basis.
07 Third-party platforms
When connected, Qreators integrates with third-party creator platforms through specialised API providers. MXM SOLUTION LLC is not affiliated with any of these third-party platforms or providers.
Changes to third-party APIs or policies may degrade or disable Qreators features without notice; this does not constitute a service failure on our side. API credentials and tokens you provide are stored securely on our infrastructure, but their integrity also depends on the measures you take.
08 Intellectual property
The Qreators product — code, design, trademarks, documentation — is owned by MXM SOLUTION LLC and protected by U.S. and international intellectual property laws. These Terms grant you a licence to use the Service, not any ownership rights.
Feedback you send us may be used to improve the product without obligation or compensation to you. We will not publicly attribute feedback to you without your permission.
09 Data processing & DPA
For personal data about you and your team members, MXM SOLUTION LLC acts as data controller. For personal data relating to third-party platform subscribers ("fans") that transits through the Service via the API integrations you authorize, MXM SOLUTION LLC acts as data processor on your behalf as controller, in accordance with Article 28 GDPR.
By accepting these Terms you also accept our Privacy Policy and, to the extent relevant to the processor role described above, the Data Processing Addendum (DPA) available from [email protected]. The DPA is incorporated herein by reference and forms part of these Terms with respect to fan data processing.
10 Suspension & termination
By you
You may cancel any subscription at any time from the Billing page in the app or via the payment portal linked from it. You retain full access to the cancelled subscription until the end of the current paid period; no pro-rata refund is issued.
You may delete your account from your profile settings. Account deletion is immediate and irreversible; you must first cancel any active subscriptions. Cascade behaviour is described in our Privacy Policy.
By us
- With 30 days' notice for any reason.
- Immediately, for material breach of these Terms, fraud, or abuse.
- Immediately, if required by law or to protect the Service or its users.
Effect of termination
Licences granted under these Terms end, but clauses that logically survive (intellectual property, liability, governing law, DPA obligations) remain in effect. Data export requests are honoured via [email protected] within applicable statutory deadlines.
11 Warranties & disclaimers
The Service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all implied warranties — merchantability, fitness for a particular purpose, non-infringement.
We do not guarantee uninterrupted, error-free, or perfectly secure service, that defects will be corrected, or that the Service or its servers are free of viruses or other harmful components — beyond the appropriate technical and organizational measures described in our Privacy Policy.
12 Limitation of liability
To the maximum extent permitted by law, the aggregate liability of MXM SOLUTION LLC arising out of or related to these Terms or your use of the Service is capped at the lesser of:
- (a) 500 USD, or
- (b) 100 % of the fees you paid in the three (3) months preceding the event giving rise to the claim.
Neither party is liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, or loss of data — except where such liability cannot be excluded under applicable law (gross negligence, wilful misconduct, death, bodily injury).
Where you act as a consumer and mandatory law prohibits this limitation, your statutory rights prevail. This limitation reflects a fair allocation of risk and is an essential element of this agreement.
13 Governing law & disputes
These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-laws principles. Before initiating any formal proceeding, both parties agree to attempt good-faith resolution for at least 30 days from written notice of the dispute.
Failing resolution, disputes will be submitted to binding arbitration under the rules of the American Arbitration Association (AAA), seated in Wyoming, USA. Each party waives the right to litigate in a court of law, except for emergency injunctive relief.
Where a mandatory consumer-protection law grants you a non-waivable right to bring an action in your country of residence, that right prevails over this clause.
14 Modifications
We may modify these Terms at any time. Material changes will be notified by email and in-app with reasonable advance notice. Continued use of the Service after the effective date constitutes acceptance.
